upgrade windows 98 to windows 2000

I have a 650 Athlon, 64 meg ram, 20 gig H/drive. I'm trying to upgrade the OS from windows 98 to windows 2000. It will start and when it get to the part where its checking the system files, I get a WINNT32 error and it shuts down. I have downloaded the upgrade packs. When Windows 2000 starts the up-grade system check, recommends to up-grade. We are using FAT 32.

The error message I get when trying to up grade is;

WINNT32
WINNT32 error has caused an invalid page fault in module kernel32.dll at 0187:BFF8836
I have tried two different Windows 2000 CD's.

Search the entire C: drive to find ALL copies of qbconv32.dll and rename them to qbconv32.dl_.
Install the upgrade.
Rename the files back to qbconv32.dll.
